1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and WalkieCheck ("we," "us," or "our") regarding your use of the WalkieCheck application and services (collectively, the "Service").

By accessing or using our Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.

We reserve the right to modify these Terms at any time. We will notify you of any material changes by posting the new Terms on our website. Your continued use of the Service after such modifications constitutes your acceptance of the updated Terms.

2. Description of Service

WalkieCheck is a walkie talkie inventory management application designed for film and television productions. The Service allows assistant directors and production teams to:

• Track walkie talkie inventory across film productions
• Manage equipment distribution to departments and crew members
• Monitor equipment location, status, and movement history
• Set return dates and track equipment accountability
• Generate reports and analytics on equipment usage

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice.

3. Account Registration and Security

3.1 Account Creation

To use WalkieCheck, you must create an account by providing accurate and complete information. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Be at least 18 years of age
• Be responsible for all activities that occur under your account

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials. You agree to:

• Keep your password secure and confidential
• Notify us immediately of any unauthorized access or security breach
• Not share your account with others
• Log out from your account at the end of each session

We are not liable for any loss or damage arising from your failure to protect your account credentials.

4. Subscription Plans and Billing

4.1 Free Trial

WalkieCheck offers a 14-day free trial with limited features (up to 50 walkie talkies, 1 project, no collaborators). No credit card is required for the free trial. After 14 days, you must upgrade to a paid plan to continue using the Service.

4.2 Paid Subscriptions

We offer the following subscription plans:

• Indie Plan: $4.99 CAD/month - Unlimited walkie talkies, 1 project, no collaborators
• Pro Plan: $9.99 CAD/month - Unlimited walkie talkies, unlimited projects, team collaborators, advanced features

4.3 Billing and Payment

By subscribing to a paid plan, you agree to the following:

• Subscriptions are billed monthly in advance
• All fees are in Canadian Dollars (CAD)
• Payment is processed through secure third-party payment processors
• Subscriptions automatically renew unless cancelled
• You authorize us to charge your payment method for recurring subscription fees
• You are responsible for any applicable taxes

4.4 Plan Changes and Cancellation

You may upgrade, downgrade, or cancel your subscription at any time:

• Upgrades take effect immediately with prorated billing
• Downgrades take effect at the end of the current billing cycle
• Cancellations take effect at the end of the current billing period
• No refunds are provided for partial months or unused subscription time

4.5 Failed Payments

If payment fails, we will attempt to charge your payment method multiple times. If payment continues to fail, your account may be suspended or downgraded to the free trial limitations until payment is resolved.

5. Acceptable Use Policy

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree NOT to:

• Use the Service for any illegal or unauthorized purpose
• Violate any applicable laws or regulations
• Infringe on the intellectual property rights of others
• Upload or transmit viruses, malware, or other harmful code
• Attempt to gain unauthorized access to our systems or other users' accounts
• Interfere with or disrupt the Service or servers
• Use automated systems or bots to access the Service
• Reverse engineer, decompile, or disassemble any part of the Service
• Resell or redistribute the Service without our written permission
• Use the Service to harass, abuse, or harm others

We reserve the right to suspend or terminate your account if you violate this Acceptable Use Policy.

6. User Content and Data

6.1 Your Content

You retain all ownership rights to the content and data you upload to the Service, including project information, crew member details, and equipment tracking data ("User Content"). By using the Service, you grant us a limited license to use, store, and process your User Content solely to provide and improve the Service.

6.2 Your Responsibilities

You are solely responsible for your User Content. You represent and warrant that:

• You own or have the necessary rights to upload and use your User Content
• Your User Content does not violate any laws or third-party rights
• You have obtained all necessary consents to upload crew member information
• Your User Content does not contain sensitive personal information beyond what is necessary for the Service

6.3 Data Backup

While we maintain regular backups of the Service, you are responsible for maintaining your own backups of critical data. We are not liable for any loss or corruption of User Content.

7. Intellectual Property Rights

The Service and its original content, features, and functionality are owned by WalkieCheck and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

You may not:

• Copy, modify, or create derivative works of the Service
• Remove any copyright or proprietary notices
• Use our trademarks, logos, or branding without permission
• Frame or mirror any part of the Service

8. Third-Party Services

The Service may contain links to third-party websites or services that are not owned or controlled by WalkieCheck. We have no control over and assume no responsibility for the content, privacy policies, or practices of any third-party services.

You acknowledge and agree that we shall not be responsible or liable for any damage or loss caused by your use of any third-party services.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that:

• The Service will be uninterrupted, secure, or error-free
• The results obtained from the Service will be accurate or reliable
• Any errors in the Service will be corrected
• The Service will meet your specific requirements

Your use of the Service is at your sole risk. You are responsible for implementing adequate procedures and safeguards to meet your requirements.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WALKIECHECK SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR $100 CAD, WHICHEVER IS GREATER.

Some jurisdictions do not allow the exclusion of certain warranties or the limitation of liability for certain types of damages. In such jurisdictions, our liability will be limited to the maximum extent permitted by law.

11. Indemnification

You agree to indemnify, defend, and hold harmless WalkieCheck and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or related to your use of the Service, your User Content, or your violation of these Terms.

12. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including:

• Violation of these Terms
• Fraudulent or illegal activity
• Non-payment of subscription fees
• At your request

Upon termination:

• Your right to use the Service will immediately cease
• You will lose access to your account and User Content
• We may delete your User Content after 30 days
• You remain liable for any outstanding fees

You may terminate your account at any time by contacting us or through your account settings. Upon voluntary termination, your subscription will remain active until the end of the current billing period.

13. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of Canada, without regard to its conflict of law provisions.

Any disputes arising out of or relating to these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the Canadian Arbitration Association, except that either party may seek injunctive relief in court to protect intellectual property rights.

You agree to waive any right to a jury trial or to participate in a class action lawsuit.

14. General Provisions

14.1 Entire Agreement

These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and WalkieCheck regarding the Service.

14.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

14.3 Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

14.4 Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.
